Terms of Service

1. About these terms

These terms govern your use of the Usage Register platform and any services delivered by Usage Register ("we", "us", "our"). By accessing the platform or engaging our services, you agree to these terms. If you are accessing on behalf of an organisation, you confirm that you have authority to bind that organisation.

Usage Register is operated as a managed service for UK businesses. Platform access is granted by invitation only; there is no self-serve sign-up.

2. Services

We provide the following services under separate engagement proposals or statements of work:

  • AI Usage Discovery — staff survey design, distribution, and analysis
  • AI Register — live register of AI tools, use cases, risk classifications, and governance status
  • Current-State Review — structured assessment report with findings and recommendations
  • Ongoing Register Management — monthly maintenance, policy updates, and check-ins

The specific scope, deliverables, timeline, and fees for each engagement are set out in the proposal or statement of work agreed between us. These terms apply to all engagements unless expressly varied in writing.

3. Fees and payment

Fees are as set out in your engagement proposal. Unless otherwise agreed, invoices are due within 14 days of issue. We reserve the right to suspend access to the platform if invoices remain unpaid after 30 days.

All fees are exclusive of VAT. VAT will be charged where applicable at the prevailing rate.

4. Your responsibilities

You agree to:

  • Provide accurate information and cooperate reasonably with our delivery process
  • Keep login credentials secure and not share access with unauthorised persons
  • Use the platform only for lawful purposes and in accordance with these terms
  • Ensure staff are informed about the survey process in line with your data protection obligations
  • Notify us promptly of any security incident or suspected breach

5. Confidentiality

Each party agrees to keep the other's confidential information secure and not to disclose it to third parties without prior written consent, except as required by law. Confidential information includes, but is not limited to, business plans, technical details, client lists, survey responses, and report contents.

Survey responses collected from your staff are treated as confidential data. We do not share individual responses with management or third parties. Results are reported in aggregate only, with small-group suppression applied where group sizes could identify individuals.

6. Data protection

We are a data processor in respect of personal data provided to us as part of the services (including staff survey responses). You are the data controller. Processing is governed by our Data Processing Agreement, which forms part of the contract between us.

7. Intellectual property

We retain all intellectual property rights in the Usage Register platform, templates, methodologies, and any underlying technology. Deliverables (such as your AI Register data and Current-State Review report) are licensed to you for your own internal use for the duration of your engagement.

Your organisation's data (staff survey responses, tool records, use cases, policies) remains your property. On termination you may export your data within 30 days of the engagement end date.

8. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with these terms or any engagement shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

We shall not be liable for any indirect, consequential, incidental, or special loss, including but not limited to loss of profits, loss of data, or reputational damage, even if advised of the possibility of such losses.

Nothing in these terms limits either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Disclaimers

Usage Register provides a current-state assessment, AI usage register, risk indicators, and practical governance recommendations. It does not constitute legal advice. Our services do not certify legal compliance with the EU AI Act, UK GDPR, or any other regulation.

You should seek independent legal or regulatory advice where required. We accept no liability for decisions made in reliance on our assessments or recommendations without appropriate independent verification.

10. Term and termination

Either party may terminate an engagement by giving 30 days' written notice. Termination does not affect any rights or obligations that have already accrued. Fees for work completed prior to termination remain payable.

We may terminate or suspend access immediately if you breach these terms materially, become insolvent, or fail to pay invoices after due notice.

11. Changes to these terms

We may update these terms from time to time. We will give you reasonable notice of material changes. Continued use of the platform after notice of changes constitutes acceptance.

12. Governing law

These terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms.
